1. Applicability and Concepts

a. These terms and conditions apply to all offers made by us via www.curabon.com, www.permitforcuarcao.com, www.permit-for-curacao.com, www.vvcuracao.com, quotations and all work assigned to us and accepted by us as an assignment in the broadest sense of the word, except if and insofar as we expressly agree otherwise in writing with a customer.
b. The terms apply to all legally registered trade names under CuraBon Ltd. at home and abroad.
c. CuraBon and Vergunning voor Curaçao are trade names of CuraBon Ltd. and will be referred to as CuraBon in these terms and conditions.
d. Customer: The customer is the person who has purchased a service or product from CuraBon. This can be via the website, by email or by whatsapp.
e. The annulment and/or nullity of any provision of these terms and conditions does not affect the validity of the other provisions of these terms and conditions.
f. CuraBon reserves the right to amend these general terms and conditions without further notice. The validity always applies to the last known version, which is available at all times via our website and is also immediately available on request, both digitally and in writing.
g. By signing or taking note of these general terms and conditions, either in writing or by reference to them in our e-mail or correspondence otherwise, the customer agrees with the entire content thereof.

2. Duration of the agreement

a. An order is only deemed to have been accepted by CuraBon after written order confirmation by e-mail from CuraBon, or in the absence thereof, after we have actually started with the work assigned to us.
b. The customer has no control over the way in which an individual assignment or partial assignment is carried out by CuraBon in order to achieve the desired end result.
c. The customer is not permitted to provide information obtained from CuraBon to a third party without written permission from CuraBon. If the customer does so, a fine of at least USD 10,000 will be imposed. This penalty is immediately due and payable and can be substantially increased if the damage is demonstrably higher.

3. Execution of the agreement

a. The customer undertakes to provide information and/or documents that CuraBon believes are necessary for the proper execution of the relevant assignment, within 21 days of our request.
b. If CuraBonCuraBon has not received the requested information within 21 days after the second reminder or reminder email to our request, without the customer notifying us in writing that it cannot be provided or not provided on time, the customer will be deemed to have canceled further performance of the relevant individual assignment, or part thereof, as a result of which the provisions of Article 6.b. applies to.

4.Privacy

a. CuraBon may and will only use the customer's personal data for the execution of the agreement and for no other purpose. When the agreement is terminated, CuraBon will delete all personal data.
b. CuraBon will do everything possible and reasonable to properly protect customer's personal data.

5. Payment

a. Unless expressly agreed otherwise, full payment must be made by the customer before the order is executed. The agreed fee is at all times exclusive of additional or unforeseen costs such as the costs of government agencies, courier services, extra and/or non-agreed services, costs of third parties, extra working or travel time, etc., unless expressly agreed otherwise in writing with a customer. Charged bank costs for international payment orders are fully borne by the customer.
b. If the amount of the order has not been paid or has not been paid in full on the day it has become due and payable, the customer will be in default by the mere expiry of the term without any summons or notice of default being required. This only applies if the relevant assignment has not been cancelled, as referred to in Article 3.b
c. In the event of cancellation or suspension by the customer, as referred to under 6.b, the terms and conditions and payment conditions also referred to under 6.b apply.
d. The customer is also obliged to pay us the statutory and compound interest from the day the claim has become due and payable until the day of full payment, as well as all judicial and extrajudicial costs that we must incur to collect the outstanding amounts.

6. Termination

a. CuraBon is entitled, stating reasons, to prematurely terminate any assignment accepted by us, or to suspend the execution of the assignment for an indefinite period of time, in any state in which the execution of the assignment is, without this interim termination or suspension entailing any obligation for us to pay compensation or compensation.
b. The customer is entitled to cancel any individual order or partial order in writing without giving reasons and to terminate or suspend it prematurely, regardless of the status of the execution of the order in question. In this case, the customer will continue to owe us the amount as agreed upon at the start of the assignment. CuraBon is entitled to immediately invoice the direct costs incurred up to that point, plus the costs of the working hours spent, and to demand immediate payment thereof.

7. Liability and Advertising

a. CuraBon expressly excludes any liability for damage resulting from acts and/or omissions of our employees, or natural persons or legal entities that we use in the performance of the assignment, unless such acts and/or omissions constitute intent or gross negligence on our part.
b. The customer indemnifies CuraBon against all third-party claims for compensation of damage as referred to in Article 7.a
c. Also excluded is any liability for damage resulting from the loss of written or electronic documents, whether or not on the part of CuraBon, but also with the Immigration Department and/or other authorities.
d. CuraStage will make every effort to perform the agreed work to the best of its knowledge and ability in accordance with the requirements of good workmanship, all this in accordance with what may be expected in the context of the task assigned to us. This obligation has the character of a best efforts obligation, because no guarantee is given with regard to the result of the service provided by us. This also includes the rejection by a third party of the requested Declaration of Law.
e. The customer guarantees the soundness and completeness of the data and/or documents made available to us. CuraBon is not liable for damage that is or will be caused by incompleteness, inadequacy or late delivery of the information provided by or on behalf of the customer or documents provided or to be provided.

8. Suspension

The customer is under no circumstances entitled to suspend any payment (or part thereof) or to reclaim any payments made (or part thereof) unless the law gives him the authority to do so.

9. Settlement

Without our explicit permission, the customer is not permitted to set off any amount or part thereof owed by him to us against any amount that we may owe or become due to him.

10. Disputes

Only Curaçao law applies to our offers, to the agreements concluded by us and to all obligations arising therefrom.
